Terms of Service

These Terms of Service and End User License Agreement (“Terms”) are a legal agreement between you and Gunning Industries, Corp., a Delaware corporation (“GreenCheck”, “we”, “us”) governing your use of the GreenCheck app and website (the “Service”). They include important limitations of liability and, where applicable, affect your legal rights. Please also read our Privacy Policy and Medical Disclaimer, which are incorporated into these Terms.

Safety notice. GreenCheck provides information to help you decide; it is not medical advice and is not a medical device. A favorable grade is not a guarantee that a product is safe. Always read the actual product label and consult a qualified professional for allergy and medical decisions. In an emergency, follow your allergy action plan and call your local emergency number. See the Medical Disclaimer.
Arbitration & class-action waiver. Section 16 requires that most disputes be resolved by individual binding arbitration and waives your right to a jury trial and to participate in a class action. You may opt out within 30 days of first accepting these Terms (see §16). Please read it carefully.

1. Acceptance & eligibility

By creating an account or using the Service, you agree to these Terms. You must be at least 18 and a parent or legal guardian acting on behalf of your household. If you do not agree, do not use the Service. If you are using the Service on behalf of another adult, you represent that you are authorized to bind them to these Terms.

2. The Service & no safety guarantee

GreenCheck lets you create profiles for your children and scan packaged-food barcodes (or photograph ingredient labels) to receive an informational, per-child grade (BEST / GOOD / CAUTION / AVOID) based on the allergies, conditions, and preferences you set.

The grade is informational guidance only. It is not, and must not be relied on as, a representation, warranty, or guarantee that any product is safe, allergen-free, or suitable for any child. A “BEST,” “GOOD,” or “CAUTION” result does not mean a product is safe, and the absence of a flag does not mean an allergen is absent. The Service depends on third-party and user-entered data (including data from OpenFoodFacts and automated analysis) that may be incomplete, out of date, or inaccurate, and we are not responsible for the accuracy of third-party data. The Service must never replace reading the product label or consulting a professional. We may modify, suspend, or discontinue features at any time.

3. Parental authority & consent

You represent and warrant that, for each child profile you create, you are that child’s parent or legal guardian (or are otherwise authorized to provide their information), and that you consent, on the child’s behalf, to our collection and use of that information — including health-related information such as allergies and medical conditions — as described in the Privacy Policy. You are responsible for keeping each profile accurate and complete, and you may review, correct, or delete it at any time in the app.

4. Your account

You sign in with a one-time email link. You are responsible for the accuracy of the information you enter, for keeping access to your email secure, and for activity under your account. Notify us promptly of any unauthorized use.

If you post in the community, you retain ownership of your content and grant us a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, display, and distribute it within and in connection with the Service. You represent that you have the rights to post your content and that it does not violate these Terms or any law.

There is zero tolerance for objectionable content or abusive behavior. You must not post content that is unlawful, harassing, hateful, threatening, sexually explicit, deceptive, spam, or that endangers others — including dangerous medical misinformation or another person’s private or health information (including a child’s). We may pre-screen, moderate, refuse, label, or remove content, and suspend or terminate users, at our discretion and without liability. You can report content or block users in the app, and we aim to act on valid reports promptly (typically within 24 hours). By using the community you agree to these rules and to our enforcement of them.

8. Copyright complaints (DMCA)

We respect intellectual-property rights and respond to notices of alleged infringement. If you believe content on the Service infringes your copyright, send a notice to support@greencheck.app (subject: “DMCA”) including: your contact information; identification of the work and the allegedly infringing material and its location; a statement of good-faith belief that the use is unauthorized; a statement, under penalty of perjury, that your notice is accurate and you are authorized to act; and your physical or electronic signature. We may remove infringing content and terminate repeat infringers.

9. Intellectual property & feedback

The Service, including its software, design, content, and trademarks, is owned by GreenCheck and its licensors and is protected by law. Subject to these Terms, we grant you a limited, personal, non-transferable, non-sublicensable, revocable license to use the app on Apple-branded products you own or control, as permitted by the App Store Usage Rules. All rights not expressly granted are reserved. If you send us feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free license to use them without restriction or obligation to you.

10. App-store terms (Apple & Google Play)

These Terms are between you and GreenCheck only, not with Apple. Apple is not responsible for the Service or its content. The following apply to your use via Apple’s App Store:

Google Play

If you obtained the app from the Google Play Store, your use is also subject to the Google Play Terms of Service. These Terms are between you and GreenCheck only, not with Google. Google is not a party to these Terms and is not responsible for the app or its content, and Google has no obligation to provide support or maintenance for the app. GreenCheck — not Google — is solely responsible for the app, for support and maintenance, and for addressing any claims relating to it (including product-liability, regulatory, consumer-protection, and intellectual-property claims). Billing, renewals, and refunds for purchases made through Google Play are handled by Google under the Google Play terms and refund policies. You represent that you are not located in a country or on a list for which your acquisition or use of the app is prohibited under applicable export-control or sanctions laws.

11. Medical disclaimer & assumption of risk

You acknowledge and agree to the Medical Disclaimer. GreenCheck is informational only, is not a medical device, is not intended to diagnose, treat, cure, mitigate, or prevent any disease or condition, and may be inaccurate or incomplete. You assume the risks of relying on it and agree to independently verify product labels and consult professionals for allergy and medical decisions. You agree not to rely on GreenCheck — or any app — as the sole basis for any allergy-safety decision, for any life-threatening condition, or in an emergency.

12. Disclaimer of warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT INGREDIENT OR ALLERGEN DATA IS COMPLETE, CURRENT, OR ERROR-FREE, THAT GRADES ARE ACCURATE, OR THAT THE SERVICE WILL BE UNINTERRUPTED OR SECURE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME EXCLUSIONS MAY NOT APPLY TO YOU.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GREENCHECK AND ITS OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR DATA, ARISING FROM OR RELATING TO THE SERVICE. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR US $50. THESE LIMITS APPLY EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or any other liability that applicable law does not permit to be limited. If any part of this section is held unenforceable, the remaining limitations will continue to apply to the fullest extent permitted by law, and the unenforceable part will be limited or modified only to the minimum extent necessary. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

14. Indemnification

To the extent permitted by law, you agree to indemnify and hold GreenCheck harmless from third-party claims, damages, and reasonable expenses (including attorneys’ fees) arising out of your misuse of the Service, your content, your violation of these Terms, or your violation of any law or third-party right. This does not require you to indemnify us for our own negligence or willful misconduct, or where prohibited by law.

15. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms or to protect the Service or others. Sections that by their nature should survive — including §§2, 7, 9, 11–14, 16, and 17 — will survive termination.

16. Disputes, arbitration & governing law

Please read this section carefully. For most disputes it requires individual binding arbitration and waives your right to a jury trial and to participate in a class action.

Informal resolution first. Before starting an arbitration or filing a claim, you agree to contact us at support@greencheck.app with a description of the dispute and to attempt to resolve it informally for at least 30 days. Most concerns can be resolved this way.

Governing law. These Terms, and any dispute arising out of or relating to them or the Service, are governed by the laws of the State of Delaware, USA, and applicable U.S. federal law (including the Federal Arbitration Act), without regard to conflict-of-laws rules — except where mandatory consumer-protection law in your country or state of residence gives you rights that cannot be waived.

Binding individual arbitration. Except for the carve-outs below, you and GreenCheck agree to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Service by final and binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules then in effect, rather than in court. The arbitration will be conducted in the U.S. county where you reside, or by video or telephone, and judgment on the award may be entered in any court of competent jurisdiction. The Federal Arbitration Act governs the interpretation and enforcement of this section. The arbitrator decides all issues, except that a court (not an arbitrator) decides the enforceability of the class-action waiver below.

Class-action & jury-trial waiver. You and GreenCheck agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person’s claims or preside over any form of class proceeding. You and GreenCheck each waive any right to a jury trial. If this class-action waiver is found unenforceable as to a particular claim, that claim (and only that claim) will be severed and proceed in court, while the remaining claims will be arbitrated.

Carve-outs. This section does not require arbitration of (a) qualifying claims brought in a small-claims court, so long as they remain individual; or (b) requests for injunctive or other equitable relief to stop infringement or misuse of intellectual property. Either party may bring such matters in the state or federal courts located in Delaware, and you consent to the personal jurisdiction and venue of those courts for that limited purpose.

Your 30-day right to opt out. You may opt out of this arbitration agreement (including the class-action and jury-trial waivers) by emailing support@greencheck.app with the subject “Arbitration Opt-Out” within 30 days of first accepting these Terms or first using the Service, and stating your name and the email associated with your account. Opting out affects only this arbitration agreement and no other part of these Terms. If you opt out (or where arbitration does not apply), you and we submit to the exclusive jurisdiction and venue of the state and federal courts located in Delaware.

Coordinated or mass filings. If 25 or more arbitration demands raising similar claims are filed by or with the coordination of the same or coordinated counsel, the parties agree the demands will be administered in sequential batches of up to 50 at a time (with bellwether proceedings to guide resolution), and applicable limitations periods are tolled for demands awaiting their batch. This is intended to make resolution more efficient for everyone.

Non-U.S. residents & mandatory rights. Nothing in this section deprives you of any mandatory consumer protection, or of any right you may have to bring proceedings in the courts of your country of residence, where applicable law so provides. Where binding arbitration or the waivers above are not permitted for you, they do not apply to the extent prohibited, and the courts located in Delaware will have jurisdiction subject to your non-waivable local rights.

Survival. This Section 16 survives termination of these Terms.

We may update these Terms. If changes are material, we will update the “Last updated” date and notify you in the app or by email. Continued use after changes take effect means you accept the updated Terms; if you do not agree, stop using the Service and cancel any subscription.
